Dear Abhijit
This letter confirms our Agreement whereby you appoint us as your literary, film and theatrical agents to act exclusively on your behalf for the sale of all rights arising from your works throughout the world including, but not limited to, book publications, journalism which you may or may not wish to put through us, motion picture, television, stage and radio rights.
It is understood that we shall represent your interests to the best of our ability and conduct negotiations on your behalf subject to your approval.
We shall remit to you promptly all monies due to you which we receive on your behalf.
We shall deduct a non-returnable commission of 15% (plus VAT where applicable) on all monies received on your behalf for sales made in the United Kingdom, 15% for all journalism (where you elect to put it through us), 20% for all sales in the United States, 20% for all translation rights sales, 15% for all theatre, film, television and sound broadcasting sales, unless we employ a sub-agent and which we would only do with your approval, in which case the commission would be 20%.
We shall have the right to reimburse ourselves from monies received on your behalf for expenses incurred for you relating to photocopying of literary material and film scripts and the purchase of books for submission and, by Agreement with you, for other exceptional expenses.
This Agreement may be terminated by either side by sixty days notice in writing. Any submissions of your works to publishers, broadcasters, film producers and studios made during and up to termination will continue to be carried out by us until completion. After termination, we shall cease to undertake any negotiation or representation for you subject to the earlier proviso, but we shall continue to be entitled to commission on income arising from all contracts which we have negotiated on your behalf, or which derive from them. We agree to service all such contracts and our commissions shall continue to apply to these contracts and, in the event we do not service these contracts by mutual agreement, we will be entitled to collect such commissions from the publishers directly.
Would you please signify your acceptance of these terms by signing and returning the enclosed copy of this letter.
Yours sincerely,
